Please read these Terms of Use ("Terms") carefully before using Clipr ("the Service," "we," "us," or "our"). By accessing or using Clipr, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
1. Description of Service
Clipr is a free, web-based audio and video file conversion tool that allows users to trim and convert audio or video files into the M4R format compatible with Apple iPhone ringtones. Clipr does not download content from third-party platforms, does not store user files after processing, and does not distribute any content submitted by users. All uploaded files are processed temporarily in memory and permanently deleted immediately after the conversion is complete.
2. Acceptance of Terms
By using Clipr, you represent that you are at least 13 years of age. If you are under 18, you represent that you have obtained parental or guardian consent to use the Service. Your use of Clipr constitutes your acceptance of these Terms and any future modifications to them.
3. User Responsibilities and Content
You are solely responsible for the files you upload to Clipr. By uploading a file, you represent and warrant that:
- You own the file, or you have obtained all necessary rights, licenses, consents, and permissions to use and convert the file.
- Your use of the file does not and will not infringe, misappropriate, or violate any third-party rights, including intellectual property rights, privacy rights, or publicity rights.
- The file does not contain any content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
- You will not use Clipr to convert or reproduce copyrighted material that you do not have the rights to use.
Clipr is intended for personal, non-commercial use only. You agree not to use the Service to create content for commercial redistribution without proper licensing.
4. Intellectual Property
Clipr does not claim ownership of any files you upload. You retain all rights to your original content. However, by uploading a file to Clipr, you grant us a temporary, limited license solely for the purpose of processing and converting the file as requested. This license terminates immediately upon delivery of the converted file and deletion of your uploaded data.
The Clipr name, logo, design, and underlying software are the intellectual property of Clipr and may not be copied, reproduced, or used without express written permission.
5. Copyright and DMCA Policy
Clipr respects the intellectual property rights of others and expects users to do the same. It is our policy to respond to clear notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (DMCA).
If you believe that content processed through Clipr has infringed upon your copyright, please provide the following information:
- A description of the copyrighted work you claim has been infringed.
- Identification of the material that is claimed to be infringing.
- Your contact information including name, address, telephone number, and email address.
- A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law.
- A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.
- Your physical or electronic signature.
We will respond to valid DMCA takedown requests promptly.
6. Prohibited Uses
You agree not to use Clipr to:
- Violate any applicable local, state, national, or international law or regulation.
- Infringe the intellectual property rights of any third party.
- Upload files containing malware, viruses, or any malicious code.
- Attempt to gain unauthorized access to the Service or its related systems.
- Use automated scripts, bots, or other means to access the Service in a manner that sends more requests than a human could reasonably produce.
- Resell, redistribute, or commercially exploit the Service without express written permission.
- Upload or convert content that depicts child sexual abuse material or any content that exploits minors in any way.
- Upload content that promotes violence, terrorism, or illegal activity.
7. Privacy and Data
Clipr is designed with privacy in mind. We do not require account creation, do not collect personally identifiable information, and do not store the files you upload. Files are processed in temporary storage and deleted immediately after conversion. We do not sell, share, or transmit your files to any third parties.
We may collect anonymous usage data such as the number of conversions processed for the purpose of improving the Service. This data is not linked to any individual user.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SERVICE IS ENTIRELY AT YOUR OWN RISK.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CLIPR AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In no event shall our total liability to you for all claims arising out of or relating to the use of or inability to use the Service exceed the amount you paid us in the twelve months prior to the claim, or $0 if you have not paid us anything.
10. Indemnification
You agree to indemnify, defend, and hold harmless Clipr and its operators from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) any content you upload to the Service.
11. Termination
We reserve the right to suspend or terminate your access to the Service at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or for any other reason at our sole discretion.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in San Diego County, California.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will indicate the date of the most recent update at the top of this page. Your continued use of the Service after any changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.
15. Entire Agreement
These Terms constitute the entire agreement between you and Clipr with respect to the Service and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, with respect to the Service.
